1. Agreement to These Terms

These Terms of Service (“Terms”) govern your access to and use of the website at markovax.com and any related services (the “Site”). By using the Site, creating an account, or placing an order, you agree to be bound by these Terms and all policies incorporated by reference. If you do not agree, please do not use the Site.

2. About MarkovaX

The Site is operated by 12852365 Canada Inc., a company incorporated in Canada, doing business as “MarkovaX” (“MarkovaX,” “we,” “us,” or “our”), based in Milton, Ontario, Canada.

MarkovaX operates as an online marketplace. Products listed on the Site are offered for sale by independent third-party sellers (“Vendors”) who have been approved to list products through the platform. MarkovaX provides the technology, payment infrastructure, and customer-facing experience; individual Vendors are responsible for the products they list, their fulfilment, and their after-sale obligations.

3. Eligibility and Accounts

You must be at least the age of majority in your jurisdiction of residence and have the legal capacity to enter into a binding contract to make a purchase or register as a Vendor. By using the Site, you confirm that you meet these requirements.

If you create an account, you agree to:

  • Provide accurate, current, and complete information;
  • Keep your login credentials secure and not share them;
  • Take responsibility for all activity that occurs under your account; and
  • Notify us promptly at info@markovax.com if you suspect any unauthorised use of your account.

4. The Marketplace and Third-Party Sellers

MarkovaX is a marketplace platform. Products listed on the Site are sold and fulfilled by independent Vendors, not by MarkovaX directly. When you purchase a product from a Vendor:

  • The Vendor — not MarkovaX — is the seller of that product and is responsible for its accuracy, quality, legality, fulfilment, and after-sale support.
  • MarkovaX facilitates the transaction and payment through Stripe but is not the manufacturer or guarantor of third-party products.
  • Each product page identifies the seller. Where the seller is listed as “markovax.com,” MarkovaX is the direct seller.
Problem with a Vendor order? If you have an issue with a product fulfilled by a Vendor, contact us first at customer@markovax.com. We will escalate to the Vendor on your behalf and, where the Vendor fails to resolve the issue, MarkovaX will step in to help find a resolution in accordance with our Returns & Refunds Policy.

5. Products, Pricing, and Availability

We aim to ensure product descriptions and prices are accurate, but errors may occur. Prices are listed and charged in United States dollars (USD), regardless of your location. If the Site displays converted prices in another currency for convenience, the USD amount is the actual amount charged; your bank or card provider sets the final exchange rate and may apply its own fees.

Prices may change without notice. Products are subject to availability. MarkovaX reserves the right to correct pricing errors, change or discontinue products, and limit purchase quantities. Applicable taxes and shipping charges are shown before you complete your order — there are no hidden charges added after payment.

6. Orders

When you place an order, you are making an offer to purchase. Your order is accepted only when we send an order confirmation or when the Vendor dispatches the product — whichever occurs first. MarkovaX and Vendors reserve the right to refuse or cancel an order at their discretion, including due to a pricing error, suspected fraud, product unavailability, or inability to verify payment. If your order is cancelled, any amount charged will be fully refunded.

For orders containing products from multiple Vendors, each Vendor processes and fulfils their portion of your order independently. You may receive separate shipments, tracking numbers, and communications from each Vendor.

7. Payments

All payments are processed securely by Stripe, a PCI-compliant payment provider. By submitting payment, you confirm that:

  • You are authorised to use the payment method provided;
  • You authorise the charge for your order total, including all applicable taxes and shipping; and
  • The billing information you provide is accurate and complete.

MarkovaX does not store your full card details on its own servers. See our Privacy Policy and Stripe’s Privacy Policy for details on how payment data is handled.

8. Shipping and Delivery

MarkovaX is a marketplace. Products are shipped by the individual Vendor who sold them, not by MarkovaX centrally. This means:

  • Shipping timelines, carriers, and packaging vary by Vendor and product type.
  • Orders from multiple Vendors may arrive in separate shipments on different dates.
  • Print-on-demand products (custom apparel, home decor, accessories) have a production lead time of 2–5 business days before shipping begins.
  • Stock goods are typically dispatched within 1–3 business days of your order.

MarkovaX currently sells and ships to destinations in Canada and the United States only. Availability is shown on each product page and at checkout before purchase.

Delivery times are estimates and are not guaranteed. Risk of loss passes to you upon delivery to the carrier or your delivery address. MarkovaX and Vendors are not responsible for delays caused by carriers, customs, weather, or events outside their reasonable control.

For eligible cross-border orders between Canada and the United States, you may be responsible for applicable duties, import taxes, brokerage fees, or carrier charges where required by law or by the carrier. Full details are in our Shipping Policy.

9. Returns and Refunds

We want you to be satisfied with every purchase on MarkovaX. You may request a return within 14 days of delivery, provided the item is unused and in its original packaging. Certain items are non-returnable, including final-sale, perishable, personalised, open-box, and digital download items.

  • Change of mind returns: Return shipping is paid by you.
  • Defective, damaged, or incorrect items: Return shipping is covered by the Vendor — via prepaid label or reimbursement.
  • Refunds: Approved refunds are issued to your original payment method in USD. Your bank or card provider sets the exchange rate; the converted amount you receive may differ slightly from what you originally paid.
To start a return: Email customer@markovax.com with your order number. Do not ship anything back before receiving written authorisation — unauthorised returns may not be processed. Full details are in our Returns & Refunds Policy, which forms part of these Terms.

10. Selling on MarkovaX

MarkovaX allows approved independent sellers to list and sell products through the Site. Selling on MarkovaX is governed by the Vendor Agreement and the Prohibited Items Policy, both incorporated into these Terms by reference.

To become a Vendor you must:

  • Submit a complete Vendor Application and receive approval from MarkovaX;
  • Complete Stripe Connect onboarding (identity verification, bank account setup); and
  • Accept the Vendor Agreement in full.

Marketplace Commission

MarkovaX retains a Marketplace Commission on each sale. Standard commission rates by product category are:

  • Print-on-Demand (apparel, home decor, accessories): 10%
  • Handmade / artisan goods: 12%
  • Physical goods / dropship (general merchandise, pet, home): 15%

Vendors approved during the launch period (July 1, 2026 – January 1, 2027) receive a reduced promotional rate for their first 90 days or first $5,000 USD in gross sales, whichever comes first. Full rate details are set out in the Vendor Agreement, Section 7.

Rate change notice: MarkovaX reserves the right to modify commission rates with 30 days’ written notice to active Vendors, as set out in the Vendor Agreement.

Vendor obligations

As a Vendor, you agree to:

  • Provide accurate, complete, and non-misleading product listings;
  • Own or be properly licensed to sell all products you list;
  • Fulfil orders within the handling time stated in your listing;
  • Respond to Customer enquiries within 72 business hours;
  • Comply with all applicable laws in every jurisdiction where your products are sold or shipped; and
  • Not list any item prohibited under the Prohibited Items Policy.

MarkovaX may review, suspend, or permanently remove listings or Vendor accounts that breach these Terms, the Vendor Agreement, or applicable law.

11. Acceptable Use

You agree not to use the Site to:

  • Violate any applicable law or regulation;
  • Infringe the intellectual property, privacy, or other rights of any person;
  • Submit false, misleading, or fraudulent information;
  • Transmit malware, viruses, or other harmful code;
  • Attempt to gain unauthorised access to our systems, accounts, or data;
  • Scrape, harvest, or collect data from the Site without our prior written consent;
  • Circumvent or interfere with the security or operation of the Site; or
  • Use the Site in any way that could damage, disable, or impair it or other users’ use of it.

12. Intellectual Property

The Site and its content — including the MarkovaX name, logo, text, graphics, and design — are owned by MarkovaX or its licensors and are protected by Canadian and international intellectual property laws. We grant you a limited, personal, non-transferable, revocable licence to access and use the Site solely for its intended purpose of browsing and purchasing products.

You may not copy, reproduce, modify, distribute, or use any part of the Site or its content for commercial purposes without our prior written permission. Vendor product content (images, descriptions, designs) remains the intellectual property of the respective Vendor.

13. User Content and Reviews

If you submit content to the Site — such as product reviews, ratings, questions, or comments — you confirm that:

  • You have the right to submit the content;
  • The content is accurate and not misleading;
  • The content does not violate any law or the rights of any third party; and
  • You grant MarkovaX a non-exclusive, royalty-free, perpetual, worldwide licence to use, display, reproduce, and distribute the content in connection with the Site and its promotion.

MarkovaX may moderate, edit, or remove any user content that breaches these Terms, our policies, or applicable law, without notice.

14. Third-Party Services

The Site integrates third-party services to operate. Your use of those services may be subject to their own terms and privacy policies, which we encourage you to review:

  • Stripe — payment processing and Vendor payouts: stripe.com/legal
  • WooCommerce / WC Vendors Pro — marketplace and order management
  • Hostinger — website hosting
  • Google Analytics (via Google Site Kit) — site analytics: policies.google.com/privacy

MarkovaX is not responsible for the practices, availability, or content of third-party services it does not control. Links to third-party sites on MarkovaX are provided for convenience only and do not constitute an endorsement.

15. Disclaimers

The Site and its content are provided “as is” and “as available” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. MarkovaX does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. MarkovaX does not warrant the accuracy, completeness, or suitability of any product description, pricing, or other content provided by third-party Vendors.

Your consumer rights are protected. Nothing in these Terms limits or excludes any rights you have under applicable consumer protection law, including Ontario’s Consumer Protection Act, 2002, which cannot be waived by contract.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MARKOVAX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR ANY PRODUCTS PURCHASED THROUGH IT, INCLUDING DAMAGES ARISING FROM VENDOR ACTIONS OR INACTIONS.

Where liability cannot be excluded by law, MarkovaX’s total liability to you for any claim is limited to the amount you paid for the specific order giving rise to the claim.

These limitations do not apply to the extent prohibited by Ontario’s Consumer Protection Act, 2002 or other applicable mandatory consumer protection law.

17. Indemnification

You agree to indemnify, defend, and hold harmless MarkovaX, its directors, officers, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms or any policy incorporated by reference;
  • Your misuse of the Site;
  • Any content you submit to the Site; or
  • Your violation of any applicable law or the rights of any third party.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles.

18.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to contact MarkovaX at info@markovax.com and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved quickly this way.

18.3 Mediation

If informal resolution is unsuccessful within 30 days, either party may refer the dispute to a mutually agreed mediator before commencing court proceedings. Mediation costs are shared equally unless otherwise agreed.

18.4 Forum

Any unresolved dispute shall be submitted to the exclusive jurisdiction of the courts of the Province of Ontario, located in Milton or Toronto. You irrevocably consent to that jurisdiction.

19. Changes to These Terms

We may update these Terms from time to time to reflect changes in our business, applicable law, or policies. When we make material changes, we will revise the “Last Updated” date at the top of this page, and where appropriate, notify you by email or through a notice on the Site. Your continued use of the Site after changes take effect constitutes your acceptance of the updated Terms.

20. Termination

MarkovaX may suspend or terminate your access to the Site or any account at our discretion, with or without notice, if you breach these Terms or use the Site in a manner that may cause harm, legal liability, or reputational damage to MarkovaX, its Vendors, or its customers. Termination does not affect any rights or obligations that arose before the termination date.
